**Affirmative Covenants (Section V) — Borrower must:**

**Negative Covenants (Section VI) — Borrower must NOT:**
- Resign, retire, or allow termination without settling the loan

### 7.1 Document Format

- **Primary Document:** Apex Loan Agreement (bulk corporate loan — employer-intermediated)

  - Irrevocable First Assignment of Placement (fixed deposit or investment as security)
- **Structure:** LBDI lends a facility to a **corporate employer** (Apex borrower), which then on-lends or distributes proceeds to its employees. Repayment is via employer payroll deduction remitted to LBDI.

The Apex Loan Agreement is a tripartite instrument:
